This term may be renewed or extended in accordance with the Organization’s bylaws. Yes No Prop 3 Duties and Responsibilities As a member of the Board, the Board Member agrees to: Attend and actively participate in 7 regular Board meetings per year and any special meetings as required. Serve on at least 2 committee(s) and contribute to its work. Review and approve the Organization’s strategic plans, budgets, and policies. Ensure the Organization complies with applicable laws and regulations. Act as a fiduciary, upholding the Organization’s duty of care, loyalty, and obedience. Support the Organization’s mission and advocate for its goals within the community. Yes No Prop 4 Conflict of Interest The Board Member agrees to: Disclose any potential or actual conflicts of interest. Abide by the Organization’s Conflict of Interest Policy. Recuse themselves from discussions or decisions where a conflict exists. Yes No Prop 5 Confidentiality The Board Member shall: Maintain the confidentiality of all sensitive or proprietary information obtained in their role. Not disclose or use such information for personal benefit or the benefit of any third party, both during and after their term on the Board. Yes No Prop 6 Fundraising and Support The Board agrees to: Contribute personally to the financial support of the Organization through a minimum initial contribution of $100 and $50 Monthly donations. Participate actively in fundraising activities and assist in securing resources for the Organization. Leverage personal and professional networks to advance the Organization’s mission. Yes No Prop 7 Indemnification The Organization shall indemnify and hold harmless the Board Member from any liabilities, expenses, or damages arising from their actions as a Board Member, provided such actions are within the scope of their duties and not the result of gross negligence or willful misconduct. This indemnification is subject to the Organization’s Directors and Officers (D&O) insurance policy. Yes No Prop 8 Resignation and Removal The Board Member may resign at any time by providing written notice to the Board Chair or Secretary. The Organization may remove the Board Member in accordance with its bylaws for reasons including, but not limited to: Failure to attend 3 consecutive Board meetings without prior notice.
